Video Platform
These Terms of Service outline the conditions under which users may access and utilize the Fight Division video platform.
1. Subscription Plans
We offer various paid subscription plans for our services, with prices and entitlements outlined at sign-up or in prior communications. Some events may be available only on a pay-per-view basis, with additional terms provided at sign-up ("Add-On Event"). You can view specific details about your subscription plan in the MyAccount section.
2. Content Availability
Our service includes audio-visual coverage of events (both live and on-demand), highlights, and related content. The composition and availability of content may change over time. Content is subject to territorial restrictions, meaning the available rights vary by region.
3. Changes to Plans and Prices
We reserve the right to change the prices for paid subscriptions and Add-On Events, modify subscription plans, and alter any entitlements at any time.
4. Account Registration
To use our service, you must register an account by providing certain information (e.g., email address) and creating a password. You may need to verify your information as part of our security procedures. If you update your details, verification may be required.
5. Non-Commercial Use
Accounts cannot be registered for purposes related to trade, business, craft, or profession.
6. Personal Use
Unless specified otherwise, your account details are personal and must not be shared with others.
7. Access Restrictions
You may access our service only in the country where you established your account. If entitled to portability, you can access your home country's version of the service while temporarily present in another member state of the European Economic Area (EEA).
8. Modifications to Terms
We may modify these terms for reasons including regulatory changes, service adjustments, and security purposes.
9. Notification of Changes
Changes to these terms, significant changes to your subscription plan, and payment term changes will be notified via email at least 30 days before taking effect. You accept the changes unless you cancel your subscription within this period.
10. License and Use
The service and content are for personal, non-commercial use only. Subscribers receive a limited, non-exclusive, non-transferable, non-sublicensable license to access the service and view content on a streaming-only basis. No other rights are granted.
11. Automatic Renewal
Paid subscriptions with a minimum initial term automatically renew unless terminated per these terms. Payment must be authorized by your payment provider, and is accepted only from providers based in your subscription territory.
12. Cancelling Subscriptions
Just like other streaming services, you are in a rolling contract upon subscription. You will need to give 30-days notice before the next billing cycle to avoid being charged for the following month. This means if you cancel your subscription today, you'll still have access to the service until the end of the current billing period, but you won't be charged for the next month. Some Fight Division subscriptions require you to sign up for a minimum period, such as a year. During this minimum period, you are typically obligated to continue paying for the subscription unless you cancel according to the terms outlined in the contract. After the minimum period ends, the subscription may continue on a rolling basis unless you cancel it. Paid Subscriptions can be cancelled by logging in to your account and cancelling through your account menu, or contacting us via email. You will still be billed for your subscription cycle and payments will stop at the end of your current billing cycle.
13. Data Sharing
To the extent permitted by law, we may share anonymized information with third-party rights holders about the content viewed on our service.
14. Termination
Paid subscriptions can be terminated. If we terminate your paid subscription, you may receive a pro-rata refund of pre-paid amounts.
15. Breach and Liquidated Damages
Breaching sections 2.5, 2.10 such as making content publicly available in commercial premises, entitles us to liquidated damages calculated by multiplying one standalone month's subscription value by twenty (20) for each breach in the past 12 months, where permitted by law. This also applies if a third party uses your account to make content publicly available. You agree these damages are reasonable to prevent unauthorized behavior, without prejudice to other remedies available.
16. Financials
Subscribers are responsible for all charges related to the Fight Division Service, including equipment and communication costs. Payment methods vary by country and may include credit/debit cards, PayPal, or other supported methods. Subscribers must ensure their payment method is valid and authorized.
17. Payment Method Fees
Payment issuers may charge fees or process payments in a different currency. Local tax charges may also vary.
18. Refusal of Payments
Fight Division reserves the right to refuse payments if fraudulent or illegal activity is suspected.
19. Conclusion of the Contract
A contract is formed when Fight Division explicitly confirms it or provides access to the service.
20. Subscription Term
Subscriptions can be terminated with a 30-day notice if no minimum term is specified. If a minimum term is specified, the subscription continues unless terminated with 30 days’ notice before the end of the term.
21. Service Availability
Fight Division aims to provide continuous service but does not guarantee it.
22. Using the Fight Division Services
Fight Division owns or licenses all intellectual property rights in the service. Subscribers agree to use the service for non-commercial purposes only and to adhere to several restrictions regarding password sharing, content copying, and unauthorized use.
23. Account Suspension or Termination
Fight Division may suspend or terminate access for various reasons, including abusive use, security breaches, or legal requirements. Notice may be given if feasible.
24. Refunds
Generally, Fight Division does not offer refunds for partial subscription periods. If you cancel your subscription midway through a billing cycle, you'll still have access to the service until the end of that period, but your subscription will not renew for the following month, and you won't be charged again. Like other streaming services, Fight Division may offer refunds in exceptional circumstances, such as billing errors or technical issues preventing access to the service. In such cases, customers can contact Fight Division's customer support to request a refund, and the support team will evaluate the situation accordingly.
25. Contact Us
You can contact us whether to discuss technical problems or for any other reason by using the “Contact Us” section of our website. In order for us to be able to assist you, you may be required to provide your e-mail, residential address, product details, payment information, which may include your billing address in order to assist you or to identify your subscription. We (and not any third-party payment provider) are responsible for providing all maintenance and support with respect to the Fight Division Service.
Content Platform
These Terms of Service outline the conditions under which users and content creators may access and utilize the Fight Division platform.
1. Acceptance of Terms
By signing up and using Fight Division ("Platform"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a contract to use the Fight Division platform. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements, or has a legal guardian who has reviewed and agreed to these terms on your behalf, and will manage the account on your behalf.
3. User Content and Intellectual Property
- Content creators retain ownership of the content you post, upload, or share on the Platform ("User Content"). However, you grant Fight Division Limited a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your user content in connection with the Platform.
- Once a user has made a payment for a Fan/Content creator transaction, the Content Creator grants to the fan a limited license to access the applicable Content of that creator to which the user/content creator transaction relates (the "relevant content"). This license is non-transferable, non-sublicensable and non-exclusive, and permits the user to access and view the relevant content on the fan's personal device and via a normal web browser (and to make a temporary copy of such Content only to the extent that this is an incidental and technical process forming part of the Fan's accessing the Content (i.e. caching)), in accordance with the Fight Division Acceptable Use Policy.
- Users of the platform agree not to post or share any content that is unlawful, defamatory, obscene, sexually explicit, abusive, offensive, or otherwise objectionable. Fight Division Limited reserves the right to remove or disable any User Content that violates these terms.
- All other content on the Platform (not related to content creators), including text, graphics, logos, images, and software, is the property of Fight Division Limited or its licensors and is protected by copyright, trademark, and other intellectual property laws.
4. Privacy and Data Collection
- Your privacy is important to us. Our Privacy Policy outlines how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.
5. Prohibited Activities
You agree not to:
- Violate any applicable laws or regulations.
- Use the Platform for any illegal, harmful, or fraudulent purposes.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Engage in any activity that may disrupt or interfere with the proper functioning of the Platform.
6. Payment and Fees
- Fight Division Limited may charge fees for certain features or services on the Platform. By using these features or services, you agree to pay the applicable fees.
- Payments are processed through third-party payment processors. You are responsible for any fees or charges associated with these payment processors.
- Upon Transactions between a user and a content creator, the creator grants the Fan a limited, non-transferable, non-sublicensable, non-exclusive license to access the relevant content. The user may view the relevant content on personal devices and web browsers, subject to the Acceptable Use Policy.
- For Content Creators, currently Fight Division only allow payouts from GBP (£) and no other currency.
8. Termination
Fight Division Limited reserves the right to terminate or suspend your access to the Platform at any time for any reason, without notice.
A subscription granted to a user after payment in relation to the relevant content from a content creator will expire automatically without notice in the following circumstances:
- if the payment related to the user/content creator transaction was unsuccessful, or is charged back or reversed for any reason;
- in respect of pay-per-view Content, once the user has completed viewing the Content;
- in respect of Subscriptions, at the end of the subscription period, unless the Subscription is configured to automatically renew as described.
- if the user’s account is suspended or terminated for any reason
- if the user acts in breach of the Fight Division Acceptable Use Policy (whether in relation to the Relevant Content or at all);
- if the Content is removed from the Creator's account
- if the user closes their Fight Division User account.
9. Cancellation and Refunds
The parties involved recognize that the provision of relevant content takes place within 14 days of the Transaction, which results in the waiving of cancellation rights. This agreement does not impede any statutory refund entitlements.
10. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. Fight Division Limited makes no warranties, expressed or implied, regarding the accuracy, reliability, or availability of the Platform.
11. Obligations and Responsibilities
This section outlines the obligations between a Content creator and User. Both parties agree to comply with the Acceptable Use Policy.
- The user agrees to make payment and not initiate unwarranted chargebacks.
- The Content creator agrees to make relevant content available upon Fan payment.
- The Content creator warrants having necessary rights and permissions for relevant content.
- The Content creator is solely responsible for creating and uploading relevant content.
- The Content Creator provides no guarantees that it will continue to create and upload relevant content on an ongoing basis.
- User access to Content is at their own risk unless due to Creator negligence.
- The user acknowledges that Content availability may change due to Creator actions or Platform circumstances.
11. Limitation of Liability
Fight Division Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of the Platform.
12. Changes to Terms
Fight Division Limited reserves the right to modify or update these Terms of Service at any time. Your continued use of the Platform after any changes constitute your acceptance of the modified terms.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
